Public offer

Terms for the supply of graphitized electrodes manufactured by Navoi Electrode Plant. This document constitutes a public offer and is governed by the laws of the Republic of Uzbekistan, including the Civil Code and the Law on Electronic Commerce.

Supplier information

The Supplier is Navoi Electrode Plant, a manufacturer of graphitized electrodes located in Navoi, Navoi Region, Republic of Uzbekistan.

The Supplier's full legal name, taxpayer identification number (TIN) and bank details are stated in the invoice and specification for each supply. The phone number and email address are provided in the “Contacts” section.

Subject of the offer

This public offer (the “Offer”) is the Supplier's official proposal to enter into a contract for the supply of graphitized electrodes of grades RP, HP and UHP on the terms set out below.

The Offer is addressed to legal entities, individual entrepreneurs and individuals within the Republic of Uzbekistan.

Acceptance of the Offer is deemed to occur upon the parties signing a specification (invoice-contract) or upon payment of the invoice issued by the Supplier. From the moment of acceptance, the contract is considered concluded on the terms of the Offer and the relevant specification.

Products supplied

The Supplier manufactures graphitized electrodes of grades RP, HP and UHP with a diameter from 200 to 600 mm and, where required, with a nipple connection.

The grade, dimensions, presence of a nipple, quantity and price of each batch are defined in the specification, which forms an integral part of the contract.

Price and payment terms

The price of the products is stated in the specification (invoice) in the national currency of the Republic of Uzbekistan — soum.

The applicable tax regime and value-added tax details are reflected in the invoice.

The procedure, form and timing of payment are agreed by the parties and recorded in the invoice or specification.

Hand-over of products

Products are handed over by self-collection from the Supplier's warehouse in Navoi.

Delivery by the Supplier is not provided by default. Where required, the terms, timing and cost of delivery are agreed separately by the parties and recorded in the specification.

The lead time for the products to be ready for shipment is stated in the specification.

Title and the risk of accidental loss of or damage to the products pass to the Buyer from the moment the products are handed over (for self-collection — from the moment of dispatch from the Supplier's warehouse).

Quality, documents and acceptance

The products are manufactured in accordance with the applicable standards (GOST 4426-80, IEC 60239) and are accompanied by a set of documents, including quality documents. The composition of the documents is specified in the contract or specification.

The Buyer inspects the products for quantity and quality upon receipt. The procedure and time limits for submitting claims are defined by the contract (specification) and the laws of the Republic of Uzbekistan.

Rights of individual consumers

Where the Buyer is an individual acquiring the products for personal, family or other needs unrelated to business activity, the relationship is additionally governed by the consumer protection laws of the Republic of Uzbekistan.

Consumer rights established by law, including the right to accurate information about the goods and the right to exchange or return goods of inadequate quality, are exercised in the manner, on the conditions and subject to the exceptions provided for by the laws of the Republic of Uzbekistan (certain goods of adequate quality are not subject to exchange or return) and may not be limited by this Offer.

Liability of the parties

The parties are liable for non-performance or improper performance of obligations in accordance with the contract and the laws of the Republic of Uzbekistan.

The Supplier is not liable for damage arising from the Buyer's breach of the rules for transportation, storage or operation of the products.

For contracts with legal entities and individual entrepreneurs, the Supplier's liability under the contract is limited to the value of the relevant batch of products; lost profit and other indirect losses are not subject to compensation, unless otherwise established by the laws of the Republic of Uzbekistan.

Force majeure

The parties are released from liability for non-performance of obligations if it is caused by force majeure circumstances. The existence of such circumstances is confirmed in the manner prescribed by law.

Final provisions

Disputes not resolved through negotiation are settled in court in accordance with the laws of the Republic of Uzbekistan.

The Supplier may amend the Offer; a new revision takes effect upon publication on the website. The revision of the Offer in force at the moment of acceptance applies to each supply.
